Terms of service

Effective date: July 1, 2026

These Terms of Service ("Terms") govern your access to and use of veracyl.com and its subdomains (the "Site") and the purchase of products offered by Veracyl, a partnership firm trading as "Veracyl" ("Veracyl", "we", "us", "our"). By accessing the Site, creating an account, or placing an order, you ("you", "Buyer", "User") agree to these Terms. If you do not agree, do not use the Site or place an order.

1. DEFINITIONS

1.1. "Products" means the research-use-only compounds, reference materials, and related laboratory items listed on the Site.
1.2. "RUO" means Research Use Only, as described in Section 4 and in the Research Use Only / Compliance Disclaimer.
1.3. "Verification" means the credential-verification process described in Section 6.
1.4. "Qualified Researcher" means an individual or entity that meets the eligibility criteria in Section 3.

2. ACCEPTANCE AND MODIFICATION OF TERMS

2.1. By using the Site or placing an order you confirm that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, the Refund & Cancellation Policy, the Shipping Policy, the Research Use Only / Compliance Disclaimer, and the Legal Notice, all of which are incorporated by reference.
2.2. We may amend these Terms at any time by posting the revised version with an updated effective date. Continued use of the Site or placement of new orders after changes take effect constitutes acceptance.
2.3. Where you have an order in progress, the Terms in force at the time the order was placed govern that order unless a change is required by law.

3. ELIGIBILITY AND USER QUALIFICATION

3.1. The Site and Products are offered exclusively to Qualified Researchers, namely: (a) professional researchers, scientists, or technicians; (b) academic, governmental, commercial, or clinical research institutions and laboratories; and (c) persons purchasing on behalf of such institutions with authority to bind them.
3.2. You must be at least 18 years of age to form a contract, and at least 21 years of age to purchase Products, or such higher age as applicable law requires.
3.3. Products are not offered to the general public, to consumers for personal use, or to any person who intends human or veterinary use.
3.4. We may refuse service, refuse or cancel any order, and restrict or terminate access to any person, at our discretion, subject to applicable law.

4. RESEARCH USE ONLY RESTRICTION (BINDING TERM)

4.1. All Products are supplied strictly for in-vitro and laboratory research use only. Products are not drugs, medicines, dietary supplements, food, cosmetics, or medical devices.
4.2. Products are not for human or veterinary use, are not for clinical, diagnostic, or therapeutic use, and have not been evaluated or approved by any regulatory authority for safety or efficacy, including the Central Drugs Standard Control Organisation (CDSCO), the Food Safety and Standards Authority of India (FSSAI), or any other Indian or foreign regulatory authority.
4.3. We do not provide, and the Site does not contain, any dosing, administration, formulation-for-use, or therapeutic guidance. No statement on the Site is a recommendation to use any Product in or on any human or animal.
4.4. Your agreement to this RUO restriction is a material and binding condition of every sale.

5. BUYER REPRESENTATIONS AND WARRANTIES

By placing an order you represent, warrant, and covenant on each occasion that:
5.1. You are a Qualified Researcher as defined in Section 3, and any information you provide (including credentials) is true, accurate, and current.
5.2. You are purchasing Products solely for lawful in-vitro / laboratory research, and not for human or veterinary use, resale for human consumption, or any prohibited use.
5.3. You will handle, store, use, and dispose of Products in compliance with all applicable laws, institutional protocols, and good laboratory practice, and only by or under the supervision of appropriately trained personnel.
5.4. You are responsible for determining the legality of purchasing, importing, possessing, and using each Product in your jurisdiction, and you will comply with all such laws.
5.5. You are not a person or entity barred from transacting under applicable sanctions, export-control, or other laws.

6. ORDER-THEN-VERIFY CONDITION (BINDING TERM)

6.1. All orders are offers to purchase and are accepted only subject to successful Verification. Placement of an order and receipt of an order confirmation do not constitute acceptance or a binding contract of sale.
6.2. Checkout attestation. At checkout you are required to confirm that you are a qualified researcher purchasing for in-vitro / laboratory research use only, and that you accept these Terms and the Research Use Only / Compliance Disclaimer. This attestation is recorded with your order (as "Research verification accepted"), is a condition of order placement, and forms part of your binding representations under Section 5.
6.3. After an order is placed, we hold the order and undertake Verification of your research credentials. We may request documentation, including institutional affiliation, professional identification, and a statement of research purpose.
6.4. If Verification is successful, we accept the order and dispatch the Product(s). A binding contract of sale is formed only upon our acceptance following successful Verification.
6.5. If Verification is unsuccessful or incomplete, or if you do not provide requested documentation within 7 days, we will cancel the order and issue a full refund in accordance with the Refund & Cancellation Policy.
6.6. We may decline Verification at our discretion where we cannot reasonably confirm eligibility, subject to applicable law.

7. PROHIBITED USES

You must not, and must not permit any person to:
7.1. Use, or allow the use of, Products in or on any human or animal, or for any clinical, diagnostic, therapeutic, food, supplement, or cosmetic purpose.
7.2. Resell, distribute, or transfer Products for human or veterinary consumption, or to any person you know or should know intends such use.
7.3. Provide false credentials or misrepresent eligibility or intended use.
7.4. Use the Site or Products in violation of any applicable law, including drugs, poisons, controlled-substances, import/export, and anti-doping laws.
7.5. Misuse the Site through unauthorized access, scraping, interference, infringement, or unlawful content.

8. ORDERS, PRICING, AND PAYMENT

8.1. Prices are listed in Indian Rupees (INR) and are subject to change without notice.
8.2. We may correct pricing or listing errors and cancel affected orders, with refund of any amount paid, even after an order is placed.
8.3. Taxes, including Goods and Services Tax (GST) as applicable, are charged in accordance with law.
8.4. Payment is processed by third-party payment providers; we do not store full payment-instrument details. See the Privacy Policy.

9. CHARGEBACKS

9.1. If you believe an order was charged in error, you must first contact us at connect@veracyl.com so we can resolve it under the Refund & Cancellation Policy.
9.2. Initiating a chargeback or payment dispute without valid grounds, or without first following the cancellation and refund process, is an unwarranted chargeback and constitutes a breach of these Terms.
9.3. We will contest unwarranted chargebacks and submit full order documentation to the processing bank, including order records, your checkout attestation, Verification records, communications, and delivery confirmation.

10. INTELLECTUAL PROPERTY

10.1. All content on the Site, including text, graphics, logos, the "Veracyl" name and marks, evidence-grading presentation, product descriptions, and page design, is owned by or licensed to Veracyl and is protected by applicable intellectual-property laws.
10.2. You are granted a limited, revocable, non-exclusive, non-transferable license to view the Site for your internal research-purchasing purposes only. No other use, reproduction, or distribution is permitted without our prior written consent.

11. DISCLAIMER OF WARRANTIES

11.1. Except for any warranty of identity and specification expressly stated on a Product's Certificate of Analysis for the specific batch, Products and the Site are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
11.2. We do not warrant any research result, outcome, efficacy, or suitability of any Product for any purpose.

12. LIMITATION OF LIABILITY

12.1. To the maximum extent permitted by law, Veracyl and its partners, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, data, or goodwill, arising from or related to the Site, the Products, or their use or misuse.
12.2. To the maximum extent permitted by law, our aggregate liability arising out of or relating to any Product or order will not exceed the amount you paid for that Product or order.
12.3. Nothing in these Terms excludes liability that cannot be excluded by law.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Veracyl and its partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms or any representation; (b) your use, handling, storage, disposal, resale, or transfer of Products; (c) any human or veterinary use of Products by you or anyone obtaining them from you; and (d) your violation of any law or third-party right.

14. FORCE MAJEURE

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, civil unrest, government action, changes in law, customs or regulatory holds, carrier failures, strikes, utility or internet failures, or supply disruptions.

15. SUSPENSION AND TERMINATION

We may suspend or terminate your access, refuse or cancel orders, and remove content, where we reasonably believe you have breached these Terms or applicable law, or where required to protect safety, legality, or our legitimate interests, subject to applicable law and refund obligations for undelivered Products.

16. GOVERNING LAW AND JURISDICTION

16.1. These Terms are governed by the laws of India.
16.2. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Site, or any order.
16.3. Before commencing proceedings, the parties will attempt good-faith resolution by writing to connect@veracyl.com.

17. GENERAL

17.1. Severability: if any provision is held unenforceable, the remainder continues in effect.
17.2. No waiver: our failure to enforce any provision is not a waiver.
17.3. Assignment: you may not assign these Terms; we may assign to a successor.
17.4. Entire agreement: these Terms and the incorporated policies are the entire agreement between you and us regarding the subject matter.
